End-User Licence Agreement
This End-User Licence Agreement (“Licence”) is a contract between you and Spark 365 Ltd for the DeskStag application for macOS (“the Software”). By installing or using the Software, you agree to this Licence.
1. Licence grant
We grant you a personal, non-exclusive, non-transferable licence to install and use the Software on Mac computers that you own or control. (Draft — confirm the number of Macs permitted per licence before launch.)
2. Free trial
The Software may be used free for a 14-day trial. After the trial, a purchased licence is required to continue using it.
3. Activation
Activating a purchased licence requires a one-time online licence check, handled by Paddle. The Software also checks periodically for updates.
4. Restrictions
You must not redistribute, resell, rent, or sublicense the Software or your licence key, or reverse-engineer, decompile, or disassemble the Software except to the extent the law expressly permits.
5. Ownership
The Software is licensed, not sold. Spark 365 Ltd and its licensors retain all intellectual property rights in it.
6. Updates and upgrades
Updates within the major version you purchased (1.x) are included free and delivered via Sparkle. Future major versions may be offered as optional paid upgrades.
7. Purchases and refunds
Purchases are made through Paddle.com, our merchant of record. Refund requests are handled in accordance with Paddle’s terms and your statutory rights as a consumer. (Draft — confirm DeskStag’s refund window/policy before launch.)
8. No warranty
The Software is provided “as is”. It relies on undocumented macOS behaviour, and a macOS update may change or break parts of it; where that happens the Software is designed to fall back to menu-bar labels rather than fail, and fixes are shipped as updates. To the maximum extent permitted by law, we disclaim all implied warranties.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, or for loss of or corruption to data. Nothing in this Licence excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law.
10. Your statutory rights
If you are a consumer, nothing in this Licence affects your statutory rights.
11. Termination
This Licence ends automatically if you breach it. On termination you must stop using and remove the Software.
12. Governing law
This Licence is governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
